Welcome to Nahshii Health (“Nahshii,” “we,” “our,” “us”). These Terms of Service (“Terms”) govern your access to and use of our websites, mobile/desktop applications, agentic AI–powered experiences, SMS programs, and related services (collectively, the “Services”). By creating an account, using the Services, clicking “I agree,” or otherwise accessing the Services, you agree to these Terms and to our Privacy Policy (together, the “Agreement”). If you do not agree, do not use the Services.
If you are using the Services on behalf of a company, health system, school, plan, employer, or other organization (“Institution”), you accept these Terms for that Institution and represent that you have authority to bind it.
1. What Nahshii Provides (Overview of Services)
Nahshii offers a mental well-being platform featuring:
- Agentic AI Companion: an AI-guided conversational experience that delivers evidence-informed self-help, coaching, and psychoeducation in a self-help, self-monitoring context.
- Digital Tools & Programs: structured exercises (e.g., CBT-informed tools, journaling, goal setting, mood check-ins) and progress reflections.
- Care Navigation & Institutional Modules (B2B): where enabled by an Institution, screening, referrals, care coordination, and messaging with Institution-assigned staff.
- Messaging/SMS Programs: optional text-based nudges, reminders, and session links.
Availability and specific features may vary by region, version, or Institutional plan.
2. Important Disclaimers (No Medical Advice or Emergency Use)
- Not a substitute for professional care. Nahshii does not provide medical, psychological, psychiatric, or crisis services and does not diagnose, treat, monitor, or cure conditions. Content is for informational and self-help purposes only.
- No emergency support. If you are in crisis, at risk of harm, or may harm others, do not use the Services. Call your local emergency number (e.g., 911/999/112), go to the nearest emergency department, or contact a crisis hotline.
- AI limitations. Our AI may make mistakes or generate content that is incomplete or inaccurate. Always use your own judgment and consult qualified professionals when needed.
3. Eligibility & Accounts
- Age. You must be 18+ (or the minimum age of digital consent in your country). For users under 18, a parent/guardian’s consent may be required by law or an Institution.
- Account. You agree to provide accurate information, keep credentials confidential, and are responsible for all activity under your account. We may suspend or terminate accounts for violations or risks to users or systems.
- Institutional Access. If your access is provided by an Institution, that Institution’s additional terms and notices may apply. Your access may end when the Institution’s contract ends.
4. SMS/Text Messaging & E-Sign Consent
By opting into SMS/text, you consent to receive automated texts (e.g., check-ins, reminders, links). Message & data rates may apply. Message frequency varies. You can reply STOP to cancel, HELP for help. Not all carriers are supported. By using electronic features (e.g., clicks, toggles), you consent to transact electronically and receive notices electronically.
5. Privacy & Data
Your use is governed by our Privacy Policy, which explains what we collect, how we use/share data, choices, and rights. Where we act for an Institution, we process data under that Institution’s instructions and applicable agreements. Nahshii is not a HIPAA covered entity unless a Business Associate Agreement (BAA) is in place with an Institution; consumer use is generally not HIPAA-regulated.
6. Use of AI & Generated Content
- How it works. Our AI companion uses prompts, safety filters, and quality checks to provide supportive, evidence-informed conversations and recommendations.
- Your responsibilities. Do not share sensitive identifiers unless requested in a secure field. Do not rely on AI for diagnosis, emergency guidance, or legally required advice.
- Improvements. We may use de-identified and/or aggregated data, and—with your consent where required—conversation data, to improve models, safety systems, and product quality.
- No guarantees. We do not guarantee accuracy, appropriateness, or availability of AI outputs.
7. Acceptable Use
You agree not to:
- Misuse, reverse engineer, or interfere with the Services or security.
- Upload malware or content that’s unlawful, harassing, defamatory, discriminatory, or otherwise objectionable.
- Share others’ personal data without their consent.
- Use automated scraping or excessive traffic tools.
- Use the Services to provide emergency, regulated clinical, or legal advice.
We may monitor usage to protect safety, quality, and compliance, and may remove content or restrict accounts for violations.
8. Institutional Modules (B2B)
When enabled by an Institution:
- The Institution controls eligibility, scope of features, and may receive usage, screening, or safety-relevant data as described in the Privacy Policy and applicable contracts.
- Messaging with Institution staff is not emergency care. Availability and response times are determined by the Institution.
- We may exchange data with the Institution’s systems (e.g., EHR/CRM) per written agreements. Nahshii is not responsible for downstream handling by those systems.
9. Payments, Renewals, Trials (Consumer Plans)
If you purchase a consumer subscription:
- Billing. You authorize us (or our processor/app store) to charge the fees plus applicable taxes.
- Auto-renewal. Plans renew automatically until canceled in your account/app store settings before the renewal date.
- Trials/Promos. If offered, you’ll be charged at the end of the trial unless you cancel beforehand.
- Refunds. Except where required by law or an app-store policy, fees are non-refundable.
10. Intellectual Property & License
- Our IP. The Services, software, AI systems, content, and marks are owned by Nahshii or its licensors and are protected by IP laws.
- Your License. We grant you a limited, revocable, non-transferable license to use the Services for personal, non-commercial purposes (or as permitted by an Institution agreement).
- Your Content. You retain ownership of content you submit (“User Content”). You grant Nahshii a worldwide, royalty-free, sublicensable license to host, use, reproduce, adapt, and display your User Content as needed to operate and improve the Services, comply with law, and fulfill Institutional features you use.
- Feedback. You grant Nahshii a perpetual, royalty-free right to use suggestions or feedback without restriction.
11. Research, Analytics, & Beta Features
We may run product research, pilots, and beta features. Participation is optional unless required by an Institution. Beta features are as-is, may change or end, and may have additional terms. We may use de-identified/aggregated data for analytics, benchmarking, safety evaluation, and product improvement.
12. Third-Party Services & Links
The Services may link to or integrate with third-party tools (e.g., video, analytics, EHRs, app stores). We do not control third-party sites or practices and are not responsible for them. Review their terms and privacy policies.
13. Mobile App & Updates
We may provide apps through Apple App Store/Google Play. App stores are third parties with their own terms. We may automatically update the Services. You consent to receiving updates (including that may change or improve features).
14. Suspension & Termination
We may suspend or terminate access (with or without notice) for policy violations, risk, non-payment, fraud, legal requirements, or discontinuation. You may stop using the Services at any time and can delete your account/data as described in our Privacy Policy (subject to legal or contractual retention). Some provisions survive termination (e.g., IP, warranty disclaimers, limitations of liability).
15. Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, NAHSHII AND ITS SUPPLIERS/Licensors DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND NON-MISREPRESENTATION. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED; NOR THAT AI OUTPUTS OR CONTENT ARE ACCURATE OR COMPLETE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAHSHII AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NAHSHII FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100. Some jurisdictions do not allow certain limitations—your rights may vary.
17. Indemnification
You will defend, indemnify, and hold harmless Nahshii Health and its affiliates, officers, directors, employees, advisors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) your violation of this Agreement or applicable law; or (d) your violation of any third-party right.
18. Governing Law; Dispute Resolution
- Law & Venue. This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflicts of laws. Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, unless arbitration (below) applies.
- Arbitration (US consumers). At Nahshii’s election, any dispute arising from or relating to the Agreement or Services will be resolved by binding arbitration administered by JAMS under its rules. You and Nahshii waive class actions and agree to bring claims only in your individual capacities. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@nahshiihealth.com with your name and the statement “I opt out of arbitration.”
(If your access is via an Institution, different dispute provisions in that contract may apply.)
19. Export & Sanctions
You may not use or export the Services in violation of U.S. or other applicable export laws/sanctions.
20. Changes to the Services or Terms
We may modify the Services or these Terms at any time (for example, to improve safety, reflect new features, or comply with laws). Material changes will be indicated by updating the “Last updated” date and, where required, by additional notice. Continued use after changes means you accept the updated Terms.
21. Miscellaneous
- Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Nahshii regarding the Services.
- Severability. If a provision is unenforceable, the remaining provisions remain in effect.
- No Waiver. A failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms; Nahshii may assign them.
- Force Majeure. We are not liable for delays/failures due to events beyond our reasonable control.
